Payment Terms
A non-refundable deposit is required at the time of booking to secure the scheduled date(s), unless otherwise agreed in writing. The scheduled engagement will only proceed once the deposit is successfully processed.
Full payment is due within 30 days from the invoice date, unless otherwise specified. In certain cases (e.g., special agreements or large-scale projects), payment may be required after the service is provided, with invoices issued following the completion of the engagement.
Late payments for post-service balances will incur a 2% monthly fee, applied after the 30-day payment period has elapsed. Late payments may result in additional penalties but do not override the standard cancellation fees outlined in the Cancellation Policy.
One-on-One Coaching
One-on-one coaching is personalized and arranged on a case-by-case basis. The terms for coaching, including the number of sessions, pricing, and payment details, will be discussed and confirmed via email or an official invoice at the time of booking.

Cancellation Policy
Local Engagements: Cancellations or rescheduling must be made at least 30 days prior to the scheduled engagement. Cancellations made within 30 days will incur a 50% cancellation fee of the total engagement fee. Cancellations made within 14 days will incur a 100% cancellation fee due to the loss of booking and preparation time.
Engagements Requiring Travel (Domestic or International): Cancellations or rescheduling must be made at least 60 days prior to the scheduled engagement. Cancellations made within 60 days will incur a 50% cancellation fee of the total engagement fee. Cancellations made within 30 days may incur a 100% cancellation fee due to the complex logistics, including non-refundable travel bookings.
Deposits: Any non-refundable deposit paid at the time of booking will be retained and applied toward the cancellation fee. If the cancellation fee exceeds the deposit, the remaining balance will be charged.
Post-service Payment Cancellations: For engagements where payment is due after the service, the cancellation fee will replace the service fees for the engagement and be invoiced separately. The total balance is due within 30 days of the cancellation notice.
Intellectual Property
All materials provided during the engagement (handouts, slides, presentations, etc.) are the intellectual property of Cloud Walk Coaching. Any recording, reproduction, or redistribution in any way of the engagement and its materials is prohibited without written consent from Cloud Walk Coaching.
Liability Disclaimer
Cloud Walk Coaching is not liable for any injuries, damages, or losses during the engagement, except in cases of gross negligence or willful misconduct.
Force Majeure
In the event of unforeseeable circumstances such as natural disasters, pandemics, or other major events outside of Cloud Walk Coaching's control, either party may terminate the engagement without penalty. Efforts will be made to reschedule the engagement at a later date if possible.
Confidentiality Agreement
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.
Dispute Resolution
In the event of any disputes arising from this agreement, both parties agree to first attempt mediation in good faith. If mediation does not resolve the dispute, it will be settled by binding arbitration under the rules of an internationally recognized arbitration body.
All legal matters will be governed by the laws of Maryland, United States, and any legal actions or arbitration will take place in Maryland, United States unless otherwise agreed.
